1. Company and e-shop:
1.1. E-shop https://umumu.lt is one of the business parts of the company Tvarumas, JSC (company code 305366079) based in Lithuania (hereinafter - the Seller).
2. General provisions:
2.1. These Terms of Sale (hereinafter - "Terms") is a legal document that sets out the rights and obligations of the Buyer and Seller, the terms and conditions for purchasing and paying for the goods, the delivery and return procedures, the parties' liability, personal data protection provisions related to purchase and sale of goods in the https://umumu.lt e-shop (hereinafter e-shop).
2.2. If the Buyer wishes to proceed with the registration or order, he must get acquainted with these terms and conditions. Only after the approval Buyer can continue with the registration or order.
2.3. The agreement between the Buyer and the Seller shall be deemed concluded from the moment the Buyer formulates the shopping cart from the goods in the e-shop and clicks the "CONFIRM ORDER" button.
3. Buyer Rights and Obligations:
3.1. The Buyer may purchase the goods only in accordance with the procedure established by this e-shop and undertakes to comply with these terms and conditions and not to violate the legal acts of the Republic of Lithuania.
3.2. The Buyer must accept the goods in accordance with these rules and conditions, and pay the agreed amount of money.
3.3. If Buyers personal details changed, Buyer must update the Registration Form immediately.
3.4. Buyer may not pass on his account login details to third parties.
3.5. In case of loss of account login details, the Buyer must immediately inform Seller by the e-mail: info@umumu.lt
3.6. Buyer who have the right to buy in the e-shop
3.7. Active natural persons;
3.8. Minors between the ages of fourteen and eighteen, with the consent of their parents or guardians, unless they are self-sufficient in income;
3.9. Legal entities.
4. Order placement:
4.1. Buyer can shop 24/7.
4.2. When making a purchase in the e-shop, the buyer forms a shopping basket of goods published in the e-shop.
4.3. By clicking on "ORDER" button, the Buyer confirms that he/she have read and agrees to the "Privacy Policy", the "Terms and Conditions".
4.4. By clicking "CONFIRM ORDER" on the "CHECKOUT" page, the Buyer confirms that he has read and agrees to the total amount of the Goods (including taxes, shipping costs, etc., if any) from that moment the purchase agreement between the Seller and the Buyer is entered into and takes effect.
5. Payment for the order:
5.1. On e-shop Buyer can choose the following secure prepayment methods:
5.2. To pay using bank cards or banklinks which are provided by electronic banking services. Payments are processed using the MakeCommerce.lt payment platform.
5.3. If you have chosen to pay by regular bank transfer, you can do so by following the instructions:
5.3.1. You have to specify the Company name: Tvarumas, UAB, Company code: 305366079, Account number: LT307044060008322934 (AB SEB bankas). IMPORTANT: When making an order, Buyer have to enter the order number in the payment destination field.
5.4. It is also possible to purchase goods by telephone, all conditions including payment method, delivery method must be agreed in advance.
5.5. Payments are in Euro currancy.
5.6. The Buyer undertakes to pay the order immediately after the order is confirmed. Preparation of the parcel will start only after the payment for the goods has been received.
6. Prices and description of goods
6.1. The prices of goods in the e-shop and in the shopping cart are quoted in euros with VAT. TVARUMAS, JSC reserves the right to change the prices of goods in case of changes in tax rates, also in cases when the manufacturer / supplier changes the pricing of goods.
6.2. The quantities of goods shown in the pictures of goods are not always related to the price of the goods - the goods may be represented more than one item in pictures.
6.3. The units of measurement are specified in the item description.
6.4. The color of the goods may vary slightly depending on the monitor used by the Buyer.
7. Delivery of goods
7.1. The Seller shall deliver the goods in the manner chosen by the Buyer at the time of order confirmation.
7.2. The Buyer must provide the exact delivery address of the goods and any additional important information regarding the delivery is also required.
7.3. The Buyer must accept the goods himself. Otherwise, he /she can‘t claim against the Seller for delivery of the goods to an unauthorized person.
7.4. The Seller undertakes to deliver the goods himself or send the goods without prior agreement using the shipping delivery services provided by another company, in case of any important circumstances and being unable to deliver the goods to the Buyer in the manner chosen by the Buyer.
7.5. Delivery term depends on the chosen method of delivery: courier or terminal.
7.6. If the Buyer has selected items that are not currently available in the e-shop or warehouse or are outsourced, the Seller undertakes to contact the Buyer and set a delivery date by separate agreement.
7.7. If the Buyer receives the shipment in the damaged package, he may refuse to accept the shipment and mark reason on the consignment note. If the Buyer accepts the consignment without comments on the consignment note, the parcel will be deemed like it was delivered in good condition.
7.8. In the case the Buyer received the items which were not ordered or incorrect quantity or assembly in the shipment, the Buyer must immediately inform the Seller by e-mail. Buyer also have to attach pictures of the parcel and the pictures of parcel content.

8. Returns and refunds
8.1. If the Buyer decides to return the goods of the appropriate quality, he must inform the Seller thereof in writing without delay and within 14 (fourteen) days at the latest. The request must be accompanied by a purchase document (i.e. invoice). Some goods may only be returned with the Seller's consent. From the date of termination notice, the Buyer must return the goods to the Seller and bear all shipping and delivery costs.
8.2. The goods must be returned unused without any significant change in their appearance and in the packaging in which the goods were delivered. The packaging must be intact, clean, properly prepared and packed.
8.3. When the Buyer returns a defective item, the Seller undertakes to replace it with an analogous item or another item of the same value. In the event that the Seller does not have a similar item and the Buyer does not agree to wait for the item to be delivered from the Supplier, the Seller undertakes to refund the money paid.
8.4. The Buyer may not return qualitative goods and withdraw from the contract of sale in accordance with the laws and regulations in force in the Republic of Lithuania.
9. Complaints procedure
9.1. If the Buyer considers that his or her rights have been violated, he or she should contact the Seller in writing and provide a reasoned explanation. If no response from the Seller is received within 14 days, or if the Buyer receives any inappropriate response, the Buyer may submit a request / complaint to the National Consumer Rights Protection Agency (www.vvtat.lt) or contact the European Consumer Center (www.ecc). .lt) or fill out the application form on the EGS platform (ec.europa.eu/odr/)

11. Intellectual Property and Content
11.1. Copying of any information or content which is on e-shop without Seller's written consent is prohibited.
12. Links to the Seller page
12.1. Links to the umumu.lt e-shop page may only be used for non-commercial purposes.
12.2. Also, links may only be used in good faith and without damaging the Seller's reputation.
12.3. Unauthorized use of the links is prohibited (i.e. by pretending to be a Seller and etc.).
13. Marketing and Information Sending
13.1. The seller can organize various marketing campaigns (such as item price promotions, discount codes, etc.) and exclusive offers to the Buyers on the e-shop.
13.2. The Seller reserves the right to unilaterally change or cancel the terms and conditions of the marketing campaign. Amendments and withdrawals shall take effect from the time they are amended or withdrawn.
13.3. All the Buyer related notifications shall be sent by the Seller on Buyers email address which is provided in the Registration form.
13.4. The Buyer sends all messages to the Seller by contacts which are specified on the e-shop.
13.5. Buyer data may only be processed for marketing purposes with the consent of the buyer himself.
14. Final Provisions
14.1. These rules of sale and purchase of goods are made in accordance with the laws and legal acts of the Republic of Lithuania.
14.2. These rules are governed by the law of the Republic of Lithuania. Any disagreement arising out of the implementation of these rules shall be settled by negotiation. In the case of disagreement, the disagreements shall be resolved in accordance with the laws of the Republic of Lithuania.
14.3. Seller reserves the right to change, amend or update these Terms and Conditions at any time. The Seller will announce about the changes, corrections or updates on the e-shop page.
